1. Constitution

1.1 The Finance & Performance Committee (F&P) is formally established as a Committee of the NHS Counter Fraud Authority Board. The Board will determine its terms of reference and any delegated authority.

2. Membership

2.1 The Committee will comprise of three Non-Executive Members of the Board, one of whom will be appointed as Chair of the Committee.

2.2 The Committee shall be quorate providing there are 2 members present. Details of the membership shall be given in the NHSCFA’s Annual Report.

3. Attendance

3.1 In addition to the members, it is expected the Chief Executive Officer, the Executive Director of Finance and Corporate Resources, the Executive Director of Strategy, Operations & Data Analytics, Department of Health & Social Care sponsor representative, and Board Secretary shall normally attend meetings of the Committee. Other attendees may be invited to attend for specific items.

4. Frequency

4.1 The Committee shall meet virtually as required, anticipated to be four times, but not less than twice, in a financial year. Additional meetings can be called as required by the Chair of the Committee. Face to face meetings will be held when specifically proposed by the Chair and agreed by members.

5. Purpose of the committee

5.1 The F&P will review integrated business and financial planning and the ongoing delivery of the published strategy and business plan.

5.2 The F&P will provide assurance to the Board regarding the management of risks, internal controls and governance arrangements in respect of the above.

5.3 The F&P will review programme, project and capital investment programmes against any mandatory standards including but not restricted to ‘HM Treasury Managing Public Money’.

6. Duties

6.1 Review the adequacy of the annual NHSCFA processes for integrated business planning and financial planning including the ongoing management and prioritisation of resources and continued alignment of strategic delivery.

6.2 Consider whether the Annual Integrated Business Plan and associated financial planning, supported by the Performance Management Framework is robust and can be delivered in accordance with the published three-year strategy.

6.3 Review the annual portfolio of projects and programmes and provide assurance to the Board these are delivered in accordance with agreed plans and benefit realisation.

6.4 Monitor operational performance against the Annual Integrated Business Plan by reviewing the quarterly performance reports and recommending these to the Board for approval.

6.5 Review the Annual Integrated Business Plan and recommend this to the Board for approval.

6.6 Finance: The Committee shall:

6.7 Promote financial sustainability, innovation and transformation to ensure the NHSCFA’s purpose and strategy are being pursued in the most cost-effective manner, achieving value for money (including procurement) whilst maintain an appropriate level of service in accordance with the NHSCFA annual plan and risk appetite.

6.8 Oversee the development and implementation of the NHSCFA’s medium / long-term financial plans and monitor performance against them.

6.9 Undertake detailed scrutiny of financial and performance information (actual and forecast), including performance against any cost improvement and/or capital investment programs as well as cash flow with particular focus on performance against control totals and budget.

6.10 Review delivery against the NHSCFA’s control total including forward projections and the delivery of any recovery plan.

6.11 Provide oversight and scrutiny of major procurements (in accordance with the delegated limits detailed within the Standing Financial Instructions) to ensure value optimisation.

6.12 Monitor proposals for significant changes in spending or revenue-raising not covered by the financial plans for current and future years.

6.13 Review the adequacy of financial information for determining priorities and seek assurance that financial performance against performance measures is adequately reflected in the relevant risk register and related action plans.

6.14 Provide scrutiny, advice and challenge to ensure the NHS Counter Fraud Authority Board maximises public value.

6.15 Performance: The Committee shall:

6.16 Review and monitor progress and performance against the business plan and delivery of key performance indicators, in achieving strategic objectives via in year business priorities. In addition, propose action on the business plan and performance in delivering service targets and priorities.

6.17 Monitor progress of ongoing programmes and projects for current and future years, including delivery of key targets, post implementation project success and associated plans. Make recommendations for action to continuously improve performance and facilitate longer term business development.

6.18 Provide scrutiny over major service change proposals and investments, particularly capital investments.

6.19 Seek assurance that financial and performance data is triangulated through cross-verification of data. To support the operational management of the organisation.

7. Reporting

7.1 The Chair of the Committee shall report on the business of the Committee at the next formal Board meeting.

7.2 The Committee shall undertake an assessment of its effectiveness each year and submit to the Board.

8. Review

8.1 The Committee will review its Terms of Reference annually.

8.2 The Committee shall submit the Terms of Reference for approval to the Board.
